We’ve tried our best to keep it straight forward. If you have any comments or questions, contact us. When you sign up for one of our Website Design plan subscriptions (e.g. Launch, Vision, Venture), you’re agreeing to these terms. We encourage you to read them and ask any questions. We’re open to feedback and love hearing from clients about opportunities on how we can improve our services or where you think we might be missing the mark.

This Agreement details our obligations to you as well as your obligations to us. This Agreement is the entire Agreement between us.

This Terms of Service Agreement (the “Agreement”) is an agreement between you (the “User”) and Enrich Agency (DBA “EnrichAgency.com,” “EnrichAgency,” “Enrich Agency ,”, “we”, or “us”). We provide Users with certain services (as defined below) to help maintain websites by providing general web design, website management and administration, website hosting services, communication tools, and online store (ecommerce) tools and services (collectively, the “Services”) directly and through the website and associated domains of http://www.EnrichAgency.com (the “Site”). By using the Site in any way you are agreeing to comply with these terms, our Privacy Policy and any other legal notices or conditions or guidelines posted on the Site which we may update without notice and we encourage you to check out here at any time.

1. Material Available

All material and services available on the Site, and all material and services provided by or through EnrichAgency.com, its affiliates, subsidiaries, employees, agents, licensors or other commercial partners including, but not limited to, software, software documentation, design of and “look and feel,” layout, photographs, graphics, audio, video, messages, interactive and instant messaging, design and functions, files, documents, images, written copy written by EnrichAgency.com or other materials provided by EnrichAgency.com, whether publicly posted or privately transmitted as well as all derivative works thereof (collectively, the “Materials”), are owned and maintained by us or other parties that have provided or licensed their material or provided services to us, and are protected by copyright, trademark, trade secret and other intellectual property laws. All EnrichAgency.com trademarks and service marks, logos, slogans and taglines are the property of EnrichAgency.com. All other trademarks, service marks, logos, slogans and taglines are the property of their respective owners. Nothing should be construed as granting any license or right to use any trademarks, service marks, logos, slogans or taglines displayed on EnrichAgency.com without our express written permission.

2. Material Use & Access

Subject to this Agreement, EnrichAgency.com hereby grants you a limited, revocable, non-transferable and non-exclusive license to use the Materials to the extent, and only to the extent, necessary to access and use the Services in accordance with the terms of this Agreement. This license does not permit you, and you agree not to: store, copy, reproduce, republish, modify, upload, post, translate, scrape, rent, lease, loan, sell, distribute, transfer, transmit, display, decompile, reverse engineer, reverse assemble, decipher or otherwise attempt to discover any programming code or any source code used in or with the Materials or otherwise distribute in any way the Materials other than as specifically permitted in this Agreement. You may not sell, assign, sublicense, grant a security interest in or otherwise attempt to transfer any right in the Materials, create derivative works based on or in any manner commercially exploit the Materials, in whole or in part, other than as expressly permitted in this Agreement. Any use of the Materials for any purpose other than as specifically permitted herein or without our prior consent or the prior written consent of our licensors, as applicable, is expressly prohibited. We reserve all rights not expressly granted in this Agreement.

3. Material Provided

You are legally responsible for all material, information, data, text, software, music, sound, photographs, graphics, video, messages or other materials provided, uploaded, posted or stored in connection with your use of the Services (“Content”). EnrichAgency.com is not responsible for your Content. You are the owner of all the content that you provide given that you have the legal ownership or proper licensing in place. You hereby grant EnrichAgency.com a worldwide, royalty-free, non-exclusive license to host and use the Content in order to provide you with the Services and hereby represent and warrant that you have all the rights necessary to grant us such license. You are responsible for any Content that may be lost or unrecoverable through your use of the Services. You are encouraged to archive your Content regularly and frequently.

4. Providing Access to Other Accounts and Services

Some of our Services may require you to give us access to or require you to provide login information and password information for accounts or services you may have with third party providers. When you provide this information to us or give us access to these third party accounts you agree that you have read all contracts and written agreements governing such access, login information and passwords and that you have all the necessary contractual and legal rights to give us such access, login information and passwords.

5. Right To Publish

Any questions, comments, suggestions, ideas, feedback, or other information provided by you to us (“Comments”) are not confidential and you hereby grant us a worldwide, perpetual, irrevocable, royalty-free license to reproduce, display, perform, distribute, publish, modify, edit or otherwise use such Comments as we deem appropriate, for any and all marketing or promotional purposes, in our sole discretion. Furthermore, you hereby grant us a worldwide, perpetual, irrevocable, royalty-free license to reproduce, display, perform, distribute, publish, modify, edit or otherwise use the Content and any website, image, video, audio, document or data provided to us or created by us as we deem appropriate, for any and all marketing or promotional purposes, in our sole discretion.

6. Monitoring What You Provide Us

EnrichAgency.com may, but has no obligation to, monitor Content on the Site or websites created using our Services. We may disclose any information necessary or appropriate to satisfy our legal obligations, protect EnrichAgency.com or its customers, or operate the Services properly. EnrichAgency.com, in its sole discretion, may refuse to post, remove, or require you to remove, any Content, in whole or in part, alleged to be unacceptable, undesirable, inappropriate, or in violation of this Agreement. EnrichAgency.com may, in its discretion, also require you to place all or any portion of the Content behind password protection. If EnrichAgency.com has requested Content be placed or has placed Content behind password protection, you may not publish the password or similar information in any way that limits the effectiveness of the password. If EnrichAgency.com requests that you place any Content behind password protection and you fail to do so promptly, EnrichAgency.com may (a) place such Content behind password protection itself, or (b) immediately terminate this Agreement.

7. Copyright Complaint Policy

If you believe any Materials infringe your copyrighted works, you may provide a notification of claimed copyright infringement to your Account Manager for copyright complaints. As EnrichAgency.com asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If any material located on or linked to by your Website violates copyright, you are required to remove or request that such material or links be removed. You warrant that all materials provided by you have been properly licensed, and that use by EnrichAgency.com in carrying out our assignment does not infringe the rights of third parties. In no event will EnrichAgency.com be liable for any copyright infringements that exist on your Website. If any part of your website is found to be in violation of a third party’s copyrights, the liability of any infringement ultimately falls on you, the company displaying the imagery. It is your obligation to verify that images, video, text and other Content used on your Website(s) do not violate a third party’s copyrights, even if that Content is supplied by EnrichAgency.com.

8. Rules

You agree to all of the following:

a. You hereby certify that you are at least 18 years of age and have the legal capacity to agree to these terms and conditions.

b. You will ensure the email address provided in your account registration is valid at all times and will keep your contact information accurate and up-to-date.

c. You will not use the Services or Materials for any unlawful purposes or to conduct any unlawful activity, including, but not limited to, fraud, embezzlement, money laundering or insider trading.

d. You will not use the Services or Materials if you are located in a country embargoed by the U.S., or are on the U.S. Treasury Department’s list of Specially Designated Nationals.

e. You will not use the Services or Materials to impersonate another person.

f. You will not imply or state, directly or indirectly, that you are affiliated with or endorsed by EnrichAgency.com without our express written permission.

g. You may not send unsolicited messages (also known as junk mail or SPAM) to promote any website published on the Site.

h. You may not upload, post, email, transmit or otherwise make available or initiate any Content that contains software viruses, worms, Trojan horses or any other computer code, files or programs that interrupt, destroy or limit the functionality of the Services or the Materials or that may impact the ability of any EnrichAgency.com user to access the Services.

i. You will not access the Services through automated methods. The Services may only be used or accessed through an electronic device through manual control at all times.

j. You may not send messages using the Services which do not correctly identify the sender and you may not alter the attribution of origin in electronic mail messages or postings.

k. You will not share your password, let anyone else access your account, or do anything that might jeopardize the security of your account. You will not attempt to or actually access the Services or Materials by any means other than through the interfaces provided by EnrichAgency.com.

l. You will not attempt to or actually override any security component included in or underlying the Materials or Services.

m. You will not attempt or engage in any action that directly or indirectly interferes with the proper working of or places an unreasonable load on EnrichAgency.com’s infrastructure.

n. You will not publish, Content, or links to Content, that is:

i. Pornographic, sexually explicit, or violent.
ii. Illegal (including stolen copyrighted material and material that infringes or has the potential to infringe the intellectual property rights of another).
iii. Reasonably likely to cause harm, or that could be reasonably considered as slanderous or libelous.
iv. Breaches another’s privacy.

o. EnrichAgency.com may determine in its sole discretion whether or not an account is in violation of any of these policies. Violation of any of these policies may result in user information tracking with such information being stored to identify the offending user. Offending users may be permanently restricted from holding an account or using the Services. If EnrichAgency.com reasonably determines that your account is being used for illegal or fraudulent activity then your account may be immediately terminated and your financial data erased. We may also report you to law enforcement officials in the appropriate jurisdictions.

9. Selling Through EnrichAgency.com

Some of our Services and Materials may offer you the opportunity to sell or purchase goods and services through sites hosted or designed by EnrichAgency.com as well as our partners and affiliates sites (such goods and services, “Commerical Products”). We, our partners, and affiliates are merely providing the platform for buyers and sellers to negotiate and complete transactions for these Commercial Products. When a buyer purchases Commercial Products, payments will be processed through a third party payment service provider. Payment services are governed solely by the third party provider’s terms of service and privacy policy. We are not responsible for the actions of these third party service providers. In addition to the other rules and requirements described in this Agreement, you must follow the rules listed below when offering, selling or purchasing

Commercial Products.

a. You may not offer or sell illegal or potentially illegal Commercial Products, including those that are counterfeited, stolen or fraudulent. Commercial Products sold using the Services must comply with all applicable laws, including Commercial Products sold to individuals outside of the U.S. Items identified as “not for distribution within the United States” may not be sold using the Services.

b. You may not offer or sell Commercial Products that infringe or have the potential to infringe the intellectual property rights or proprietary rights of another.

c. You may not offer or sell any Commercial Products that we, in our discretion, determine are inappropriate, offensive, pornographic, sexually explicit or violent.

d. You may not offer or sell any Commercial Products that are manufactured as, or primarily intended to be used as, weapons, including firearms, restricted devices or ammunition. We reserve the right to determine, in our sole discretion, whether Commercial Products constitutes “weapons” for purposes of this Agreement.

e. You may not offer or sell any Commercial Products that infringe upon or have the potential to infringe upon an individual’s privacy or that may be libelous, slanderous or otherwise defamatory.

f. You may not use images or names of any third party (including notable personalities or celebrities) when offering or selling Commercial Products without first obtaining that third party’s permission.

g. Without limiting anything else in this Agreement, we may immediately remove Content related to the offer or sale of Commercial Products in violation of this Agreement. If you sell a Commercial Product using our Services, then you must, upon our request, (i) use commercially reasonable efforts to stop the delivery of the Commercial Products to the buyer, or (ii) pay a refund for such Commercial Products to the buyer.

10. Payment Information

You agree to supply appropriate payment for the services received from EnrichAgency.com, in advance of the time period during which such services are provided. Subject to all applicable laws, rules, and regulations, all payments will apply to the oldest invoice(s) in your billing account. You agree that until and unless you notify EnrichAgency.com of your desire to cancel any or all services received, those services will be billed on a recurring basis.

Should such a card in someone else’s name result in a “chargeback” (withdrawal, cancellation or refund) due to he or she contacting their bank, you will be responsible for repaying any such funds that have been removed. It is your responsibility to contact the cardholder and ask him or her to negate the chargeback request by contacting his or her bank. Furthermore, you agree that any chargebacks cannot exceed 30 days back from the date of request to your bank or financial service.

As a client of EnrichAgency.com, it is your responsibility to ensure that your payment information is up to date, and that all invoices are paid on time. You agree that until and unless you notify EnrichAgency.com of your desire to cancel any or all services received (by the proper means listed in Section 11 of the Terms of Service), those services will be billed on a recurring basis, unless otherwise stated in writing by EnrichAgency.com. EnrichAgency.com reserves the right to bill your credit card or billing information on file with us. EnrichAgency.com provides a 7 day grace period from the time the invoice is generated and when it must be paid. Any invoice that is outstanding for 7 days and not paid will result in a suspension of your account, website and any other associated services including but not limited to email and hosting until account balance has been paid in full. Access to the account will not be restored until payment has been received.

a. If you purchase any Services that we offer for a Fee, you agree to allow EnrichAgency.com, or our third party service providers to store your payment card information. You expressly agree that we or third parties that you sign up for through our services or by way of referral are authorized to charge you (i) a monthly Fee for any applicable Services billed on a monthly basis, (ii) any other Fees for Services you may purchase, and (iii) any applicable taxes in connection with your use of the Services to the payment card you provide and to reimburse us for all collection costs and interest for any overdue amounts. If the payment card you provide expires and you do not provide new payment card information or cancel your account, you authorize us to continue billing you and you agree to remain responsible for any uncollected Fees.

b. First Payment: EnrichAgency.com will use the first month’s payment in addition to any other discussed costs as a fee with your approval and consent prior to initiating website management service plans or products as listed on the website. The following services are some items that are rendered for website management plan upon receptions of first payment:

i. Creation of cPanel account on our hosting server
ii. Installation of latest WordPress version the aforementioned cPanel
iii. Setup of WireFrames on WordPress Installation (which includes installation of theme as well as any page or layout arrangements).
iv. The purchase, installation, and setup of 3rd Party software at your request to fulfill advanced development needs

The credit card used to collect any setup fee will be the same card used to process your monthly recurring payment.

11. Website Design Plans (e.g. Launch, Vision, Venture – AKA All-In-One Plans)

a. Only Services and features clearly indicated as “free” or “no charge” or “included” are free or without additional charge. All other applications, features, functionality and support provided by EnrichAgency.com and its partners are provided for the fees quoted by the company or listed on the Site and you are liable for such Fees associated with additional services or products.

b. Monthly Service Plan: The monthly service plans entail the operation, maintenance, management, and use of the Website we provide. Further, it also includes the website hosting costs and services. The monthly service plan is provided for a flat rate (“Fee”) every month until notice of cancellation is initiated. The fee will be automatically deducted from your credit card on a recurring basis on the same day each month relating to the date you initiated service or the date you’ve specifically requested. If collection of payment becomes an issue, EnrichAgency.com at its sole discretion may require that you use a different credit card or that 12 months of monthly service be purchased up front. A Late fee of $20 may also be implemented for accounts that we deem as being repeatedly or somewhat regularly in bad standing due to late payments, inability to process payment or other payment processing issues.

Your monthly service plan includes the following:

i. Use the Website that we have provided you on a domain name of your choice.
ii. Website Hosting.
iii. Subscribers Prior to March 31, 2014: One hour of website work and support per month. Hourly increments are applied and debited toward your requests for updates and changes. Use of any email accounts we have created in accordance with the hosting plan we provide.
iv. Subscribers Following March 31, 2014 through Feb. 10th, 2016. Hours of website work and support per month are limited to a monthly basis as designated on the website – Starter Plan: thirty minutes per month; Plus Plan: 60 minutes per month; Pro Plan: 90 minutes per month; Premium Plan: 120 minutes per month; Hourly increments are applied and debited toward your requests for updates and changes.
v. Subscribers Following Feb. 10th, 2016. Hours of website work and support per month are limited to a monthly basis as designated on the website – Launch Plan: 60 minutes per month; Vision Plan: 90 minutes per month; Venture Plan: 120 minutes per month; Hourly increments are applied and debited toward your requests for updates, changes and general support.
vi. Online Stores (Ecommerce): EnrichAgency.com is not responsible or liable for the products or services available for sale on ecommerce websites or online stores. Furthermore, Enrich Agency is not responsible or liable for the management of such said products and services. You are solely responsible for the addition, editing, removal, listing, pricing, pictures, descriptions and any other content, imagery or media associated with the online store portion of your ecommerce website. EnrichAgency.com will provide a CMS (content management system) that allows you to manage your products. EnrichAgency.com is not responsible or liable for the availability of such said products and services available for sale or any associated pricing, descriptions, errors, warranties or other product and service details. You will be solely responsible for the online store (ecommerce) portion of your website.
vii. Blogs & Blogging: EnrichAgency.com is not responsible or liable for the posts, content, pictures, video, media, links or other such related elements available on your blog portion of the website. Furthermore, Enrich Agency is not responsible or liable for the management of such aforementioned blog elements.You are solely responsible for the addition, editing, removal, listings, pictures, video, media, links, descriptions and any other content associated with the blog portion of your website. EnrichAgency.com will provide a CMS (content management system) that allows you to manage your blog posts. EnrichAgency.com is not responsible or liable for the availability of the aforementioned content available on your blog. You will be solely responsible for the blog portion of your website.

c. Plan Pricing: Your website management service plan’s pricing will remain the same for as long as you remain a customer with an active plan and your account is in good standing. This grandfathered pricing will be honored up to 30 days following cancellation of our services or from the first day an inability to process payment occurs resulting in a suspension of services. Accounts deemed to be in bad standing for billing issues or for severely abnormal server resource usage may be subject to price increases which you will be notified and or consulted about prior to any adjustment. All other pricing for additional services is subject to change at any time and any custom quotes shall be valid for no more than 30 days.

d. Outright Purchase: You may purchase the Website outright at anytime granting you full ownership and rights to the design, data, imagery, code, scripts, files, and function. Pricing starts at $1995 and may be subject to extra cost if any additional features, pages, or functions are added in addition to what is advertised.

Currently, the outright purchase pricing for each of the three advertised plans along with their advertised features and functions are as follow:
Launch Plan: $1995 outright purchase (previously $149/mo)
Vision Plan: $3495 outright purchase (previously $199/mo)
Venture Plan: $4995 outright purchase (previously $249/mo)

For past Website Design plans, the outright purchase pricing are as follow:
Plus Plan: $1995 outright purchase (or grandfathered monthly pricing)
Pro Plan: $3495 outright purchase (or grandfathered monthly pricing)
Premium Plan: $4995 outright purchase (or grandfathered monthly pricing)

When an outright purchase is made, we can transfer the Website’s files and other associated content to a hosting provider of your choice.

e. Website redesign: Redesigns are not permitted after the 30 day revision period expires for a Website Design Plan website. Enrich Agency offers redesign services as custom quotes which are purchased outright.

12. Cancellation of Services

Cancellations can be initiated by contacting EnrichAgency.com via phone or email and explicitly requesting a cancellation of services. In order to reduce the likelihood of mistakes or fraudulent/malicious requests, you must fill out a Cancellation Request Form to complete your cancellation request. Service cancellation will be completed within 1 (one) business day upon receipt of your Cancellation Request Form. Upon your request to cancel, you understand and agree that cancellation may render all files, emails, and data associated with the account as potentially unrecoverable. All purchases are final and no refunds will be available or issued with the exception of billing mistakes such as double billing or wrong plan implementation.

Failure or inability to pay the monthly fee associated with your website and management service is not an indication of cancellation nor will it result in a cancellation of your subscription. Failure or inability to pay the monthly fee for any reason will result in a series automated emails being sent to the contact email address that we have on file for your account in an effort to make you aware of your failure to pay. One Billing Issue Notification email will be sent to you daily for 7 consecutive days with a website hyperlink that will allow you to correct or update your billing information. Failure to correct or update your billing information within this 7 day grace period will result in a suspension of all your services with EnrichAgency.com including the taking down of your website and the cessation of any hosted domain name-based email services that we manage via our email servers. Our billing system will continue trying to process the outstanding payment with the credit card that we have on file for your account until you update your billing information, contact us to update your billing information via phone, or contact us to cancel your subscription to our services. If you update your credit card information via the billing details hyperlink, the billing system will attempt to check and verify your new card details immediately upon submission. If the card details are correct and accurate, the system will process the payment at that time.

13. Insufficient Funds and Expired Credit Cards

If EnrichAgency.com is unable to bill your credit or debit card for any reason, including but not limited to insufficient funds, out-of-date credit cards, expired credit cards, and cards that have been lost, stolen, or otherwise compromised, it is your responsibility to update your billing information or add a new payment method to your account as quickly as possible. You may update your billing information by phone or by secure online portal. There is a 7 day grace period for past due accounts. Failure to correct or update your billing information within this 7 day period will result in a suspension of all your services with EnrichAgency.com including the taking down of your website. Our billing system will continue trying to process payment with the card we have on file until you update your billing information, contact us to update your billing information, or contact us to cancel your subscription to our services.

EnrichAgency.com is not responsible for any bank fees, overdraft charges, over draft protection fees, or any other fees or penalties that may be imposed on you by your bank or financial institution as a result of attempting to charge your card.

Failure to update your billing information is not considered a cancellation of services. In the event that you fail to update your credit card or change your billing information within the allowed 7 day grace period, your account will be considered past due and temporarily suspended. EnrichAgency.com may, at its sole discretion, attempt to bill your account at any time during or after the 7 day grace period in order to resume your service and subscription. Updated credit cards and/or topped off bank accounts that have sufficient funds will be automatically charged and EnrichAgency.com will put your website back online and resume services.

EnrichAgency.com reserves the right to permanently cancel your account and not resume service or put your website back online at our sole discretion due to billing issues or any other violation of these terms.

14. Taxes

You take full responsibility for all taxes and fees of any nature associated with Services, including any sales tax related to the purchase or sale of Commercial Products. EnrichAgency.com shall not be liable for any taxes or other fees to be paid in accordance with or related to the Commercial Products. When purchasing or selling Commercial Products, it is your responsibility to determine whether or not sales taxes apply to a transaction and to collect, report and remit the correct amounts to the appropriate authority. Any tools provided as Materials or in connection with the Services indicating estimated taxes due are for illustration purposes only.

15. Termination

a. Services may be terminated by us, without cause, at any time.

b. Services may be terminated by you, without cause, by following the cancellation procedures set forth in Section 11.

c. EnrichAgency.com may terminate Services at any time, without penalty and without notice, if you fail to comply with any of the terms of this Agreement or the intellectual property protections applicable to these Services.

d. Notice of termination of Services by EnrichAgency.com may be sent to the contact e-mail associated with your account. Upon termination, EnrichAgency.com has the right to delete all data, files, email accounts or other information that is stored in or associated with your account as well as our Service and Materials.

16. ERRORS AND ACCESS TO SITE

YOU ARE SOLELY RESPONSIBLE FOR THE ACCURACY AND APPROPRIATENESS OF ALL DATA AND CONTENT WITHIN YOUR WEBSITE; INCLUDING SALES TAX CALCULATIONS, PRODUCT PRICING, AND PRODUCT DESCRIPTIONS, SHIPPING CHARGES, CONTACT INFORMATION, EMAIL COMMUNICATIONS, AND ELECTRONIC PAYMENT PROCESSING. ENRICHAGENCY.COM WILL NOT BE HELD RESPONSIBLE FOR INACCURATE INFORMATION AND ANY POTENTIAL DAMAGES CAUSED BY SUCH INACCURACIES. YOU FURTHER UNDERSTAND THAT ENRICHAGENCY.COM MAY NOT MAINTAIN COPIES OF FILES OR DOCUMENTS THAT ARE SENT BY YOU AND THAT YOU ARE SOLELY RESPONSIBLE FOR BACKING UP THIS DATA.

17. Links to Third Party Websites; No Implied Endorsement

The Site may contain links to other websites owned by third parties. Please note that when you click on any of these links, you are entering another website for which we have no responsibility or control. You agree that we shall not be responsible for any loss or damage of any sort incurred as a result of any such links or as the result of the presence of such links on the Site. In no event shall any reference to any third party, third party website or third party product or service be construed as an approval or endorsement by us of that third party, third party website or of any product or service provided by a third party.

18. DISCLAIMER OF WARRANTY

THE SITE, SERVICES AND MATERIALS ARE PROVIDED “AS IS,” “AS AVAILABLE,” “WITH ALL FAULTS” AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, ENRICHAGENCY.COM AND ITS LICENSORS DISCLAIM ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. ENRICHAGENCY.COM IS NOT RESPONSIBLE FOR SUCH THIRD PARTY SITES, INCLUDING WITHOUT LIMITATION, THE ACCURACY, SUFFICIENCY, CORRECTNESS, RELIABILITY, VERACITY, COMPLETENESS OR TIMELINESS THEREOF, ANY LINK CONTAINED THEREIN, OR ANY CHANGES OR UPDATES THERETO, OR ANY GOODS OR SERVICES SOLD THEREON. YOUR ACCESS OR USE OF ANY THIRD PARTY SITE IS GOVERNED BY THE TERMS APPLICABLE TO SUCH THIRD PARTY SITE. THE HOSTING OF ANY THIRD PARTY SITE BY ENRICHAGENCY.COM DOES NOT IMPLY AN ENDORSEMENT THEREOF BY ENRICHAGENCY.COM, OR OF THE PROVIDER OF SUCH CONTENT OR SERVICES, OF ANY THIRD PARTY SITE.

19. LIMITATION OF LIABILITY

WE ARE NOT LIABLE TO YOU OR ANY OTHER PERSON FOR DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION ANY PUNITIVE, EXEMPLARY, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, ANY PERSONAL INJURY, LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA ON YOUR COMPUTER OR OTHERWISE) ARISING FROM OR IN CONNECTION WITH USE OF THE SITE, THE SERVICES, THE MATERIALS, YOUR CONTENT, THE COMMERCIAL PRODUCTS OR ANY THIRD PARTY USER GENERATED CONTENT AVAILABLE ON OR THROUGH THE SITE, WHETHER UNDER A THEORY OF BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, MALPRACTICE OR OTHERWISE, EVEN IF ENRICHAGENCY.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU HEREBY RELEASE ENRICHAGENCY.COM AND HOLD ENRICHAGENCY.COM AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, LICENSORS, AND THEIR OFFICERS, DIRECTORS, TRUSTEES, AFFILIATES, SUBCONTRACTORS, AGENTS AND EMPLOYEES, HARMLESS FROM ANY AND ALL CLAIMS, DEMANDS, AND DAMAGES OF EVERY KIND AND NATURE (INCLUDING, WITHOUT LIMITATION, ACTUAL, SPECIAL, INCIDENTAL AND CONSEQUENTIAL), KNOWN AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICES, MATERIALS, SITE, YOUR CONTENT, COMMERCIAL PRODUCTS OR ANY THIRD PARTY USER GENERATED CONTENT AVAILABLE ON OR THROUGHOUT THE SITE. YOU HEREBY WAIVE THE PROVISIONS OF ANY STATE OR LOCAL LAW LIMITING OR PROHIBITING A GENERAL RELEASE.

20. EXCLUSIVE REMEDY

IN THE EVENT OF ANY PROBLEM WITH THE SITE, THE SERVICES, THE MATERIALS, YOU AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY IS TO CEASE USING THE SITE, THE SERVICES AND THE MATERIALS. UNDER NO CIRCUMSTANCES SHALL ENRICHAGENCY.COM, ITS AFFILIATES, OR LICENSORS BE LIABLE IN ANY WAY FOR YOUR USE OF THE SITE, THE SERVICES, THE MATERIALS, YOUR CONTENT, THE COMMERCIAL PRODUCTS OR THIRD PARTY USER GENERATED CONTENT AVAILABLE ON OR THROUGH THE SITE, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS, ANY INFRINGEMENT OF THE INTELLECTUAL PROPERTY RIGHTS OR OTHER RIGHTS OF THIRD PARTIES, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF, OR RELATED TO, THE USE OF THE SITE, THE SERVICES, THE MATERIALS, YOUR CONTENT, THE COMMERCIAL PRODUCTS OR ANY THIRD PARTY USER GENERATED CONTENT AVAILABLE ON OR THROUGH THE SITE. 22. Indemnification

You agree to indemnify, hold harmless, and defend EnrichAgency.com and its licensors, suppliers, officers, directors, employees, agents, affiliates, subsidiaries, successors and assigns (collectively “Indemnified Parties”) from and against any and all liability, loss, claim, damages, expense, or costs (including but not limited to attorneys’ fees), incurred by or made against the Indemnified Parties in connection with any claim arising from or related to (i) your use of the Services, the Site or the Materials, (ii) your Content, or (iii) any Commercial Products you offer on or through the Site or using our Services. This includes, but is not limited to, any breach or violation of this Agreement by you. You agree to fully cooperate at your expense as reasonably required by an Indemnified Party. Each Indemnified Party may, at its election, assume the defense and control of any matter for which it is indemnified hereunder. You shall not settle any matter involving an Indemnified Party without the consent of the applicable Indemnified Party.

23. Amendments

We reserve the right, in our sole discretion, to modify or replace any part of this Agreement at any time. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Services following the posting of any changes to this Agreement constitutes acceptance of those changes. We may also, in the future, offer new services and/or features through the Site (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

24. Disputes

The formation, interpretation and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of the state of California without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of the United States of America. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the state and federal courts located in California, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

25. Privacy

We encourage you to read the Privacy Policy, and to use the information it contains to help you make informed decisions. Please also note that certain information, statements, data and content (such as photographs) which you post to the Site are likely to reveal your gender, ethnic origin, nationality, age, and/or other personal information about you. You acknowledge and agree that your submission of such information is voluntary on your part. Further, you acknowledge, consent and agree that we may access, preserve, and disclose your registration and any other information you provide if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary in our opinion. Disclosures of user information to third parties are further addressed in the Privacy Policy.

26. Other

You acknowledge that a violation or attempted violation of any of this Agreement will cause such damage to EnrichAgency.com as will be irreparable, the exact amount of which would be impossible to ascertain and for which there will be no adequate remedy at law. Accordingly, you agree that EnrichAgency.com shall be entitled as a matter of right to an injunction issued by any court of competent jurisdiction, restraining such violation or attempted violation of these terms and conditions by you, or your affiliates, partners, or agents, as well as to recover from you any and all costs and expenses sustained or incurred by EnrichAgency.com in obtaining such an injunction, including, without limitation, reasonable attorney’s fees. You agree that no bond or other security shall be required in connection with such injunction.

In no event shall you be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of EnrichAgency.com, the exploitation of any advertising or other materials issued in connection therewith, or the exploitation of the Site or any content used or displayed through the Site.

27. Terms You Must Post on Your Site

You are responsible for drafting the terms of use for any website hosted by us for you as part of the Services (your “Hosted Site”). However, the terms of use for your Hosted Site must designate us a third party beneficiary and must contain intellectual property, limitations of liability, limitations of remedy, disclaimers of warranty and indemnification provisions each for the benefit of EnrichAgency.com which are at least as favorable to EnrichAgency.com as contained in this Agreement. EnrichAgency.com will provide you with a generic privacy policy that will be posted to your site free of charge. If you disagree with any of the statements or language within your generic privacy policy, it your responsibility to draft a custom privacy policy to be posted on your website.

You agree to indemnify and hold harmless EnrichAgency.com and its licensors, suppliers, officers, directors, employees, agents, affiliates, subsidiaries, successors and assigns from and against any and all liability, loss, claim, damages, expense or cost (including but not limited to attorneys’ fees), arising from or related to the use of, access to, interaction with or reliance upon, your Hosted Site, including the purchase, sale or other distribution of Commercial Products.

28. Miscellaneous

a. If any portion of this Agreement is found to be unenforceable, the remaining portion will remain in full force and effect.

b. If we fail to enforce any of this Agreement, it will not be considered a waiver.

c. Any amendment to or waiver of this Agreement must be made in writing and signed by us.

d. You will not transfer any of your rights or obligations under this Agreement to anyone else without our prior written consent.

e. All of our rights and obligations under this Agreement are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.

f. This Agreement does not confer any third party beneficiary rights.

g. A printed version of this Agreement and of any related notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

29. Acknowledgement

It is compulsory that you completely agree to the below terms of service before enrolling any hosting services provided by Enrich Agency Hosting. By using or continuing to use any of the Enrich Agency Hosting services, you are automatically agreeing to the conditions of this document.

The Enrich Agency Hosting Terms of Service (“EASHTOS”) have been designed to provide our clients with a very clear and transparent understanding of what we expect of them while using any of the services offered here at EnrichAgency. The use or continued use of any of the Enrich Agency Hosting services represents your complete acceptance and compliance to the Enrich Agency Hosting TOS, regardless of whether you have physically read them or not.

Upon initial registration Enrich Agency has accepted your use of our services across our entire network. For this reason under normal conditions your hosting accounts activity will not be monitored regularly. Additionally, Enrich Agency Hosting does not implement editorial control over any content of any website. This includes but is not limited to newsgroup material, e-mails, articles, or personal blogs. However in full agreement with the Enrich Agency Hosting TOS, Enrich Agency Hosting reserves the right to remove any material that in our judgement appears to be illegal, may subject Enrich Agency and Enrich Agency , Inc. to any degree of liability or may violate the Enrich Agency Hosting TOS. Enrich Agency will always reserve the right to assist with legal proceedings whether that is with third parties and/or directly with law enforcement to further examine any suspected or alleged crime or civil offense. Violation of the Enrich Agency Hosting TOS to any extent may result in the immediate suspension or termination of your relevant Enrich Agency Hosting service in addition to the suspension or termination of any other Enrich Agency Hosting services you may have.

All Enrich Agency Hosting services experience monitoring for system exploitation, security and fraud risks. All risks and/or inappropriate use of any Enrich Agency Hosting services that Enrich Agency discovers as well as those brought to the attention of Enrich Agency through third parties that violates the Enrich Agency Hosting TOS will result in swift action taken against the offending client with consequences deemed appropriate by EnrichAgency.

If any Enrich Agency Hosting client directly or indirectly violates the Enrich Agency Hosting TOS, Enrich Agency reserves the right to terminate any and all services linked to the offending client without notice. If Enrich Agency Hosting perceives the offense to be unknown to the client, Enrich Agency will notify the offending client of the mischievous or inappropriate activity alongside any necessary corrective action that Enrich Agency deems appropriate. If corrective action is not volunteered by the offending client in a period of time Enrich Agency finds reasonable or if Enrich Agency perceives the offense to be deliberate and obvious violations of the Enrich Agency Hosting TOS, Enrich Agency will take immediate action against the offending client. It must be understood that a delayed action or complete failure on Enrich Agency’s part to implement this policy for whatever reason will not be construed as a waiver of Enrich Agency’s right to do so at any time.

In review, while utilizing any of the Enrich Agency Hosting services, you, alongside the rest of the Enrich Agency Hosting client base are expected to access your account morally, sensibly and most of all responsibly.

1. Enrich Agency Hosting Account Activation and Setup

Once your order has been placed, your Enrich Agency Hosting account will be provisioned immediately. The setup of your service however requires manual intervention as it is processed after payment has been received for potentially fraudulent activity. For all new shared and domain accounts, you can expect a 1 to 15 minute setup time. For VPS, hybrid, dedicated and collocation accounts, setup time drastically differs depending upon the complexities of your requests – on average our custom tailored virtual and dedicated managed hosting environments are deployed in under 90 minutes, but please speak with your account representative for an accurate estimate. These estimates exclude migration time.

2. Data Migration Policy

Enrich Agency has built a reputation over the years as a company both capable and willing to migrate complex applications and websites to our infrastructure, generally free of charge. While we will continue to do so on a case-by-case basis, our standard migration policy extends purely between cPanel and Direct Admin control panels. Going the extra mile for our clients is part of our daily routine, if your website or application does not use cPanel or Direct Admin, or does not use a control panel at all, please reach out to us prior to signing up and we may be able to make arrangements.

The bottleneck of a migration is the connection to your previous host and the speed of their support. Enrich Agency Hosting will begin your migration typically immediately after the proper logins have been provided and the account has been setup, however we cannot provide any guarantees on time. We will always work as fast as we can, keep you updated throughout, but it is recommended to do migrations during off-peak hours to account for potential issues with the previous host as well as propagation of the DNS (domain name servers).

Enrich Agency offers our free migration service under a best-faith effort policy, and while we have successfully completed many thousands of seamless migrations of all shapes and sizes, Enrich Agency does not make any guarantees or take on any liability with potential issues that may arise. It is your responsibility to keep backups, stay involved in the migration, ask questions, and fully test the website or application before and after. If any issues are found Enrich Agency will work to resolve them under the best-faith effort policy, but will not make any guarantees of any kind. While we do perform double and triple checks, it is ultimately your responsibility to confirm everything has been migrated properly.

3. General Content And Behavior

All of the hosting services provided by Enrich Agency will only be used for lawful and moral purposes. All Enrich Agency Hosting clients agree to indemnify and hold Enrich Agency harmless from any claims ensuing from the use of our services.

Some examples of unacceptable applications of our service can consist of but are not limited to:

Hosting Video or Music files of which no proof of ownership is available
Internet Relay Chat (IRC) Bots
Illegal adult oriented material
Warez (torrents, cracks, serial keys, etc) type websites
Proxy scripts
Any hateful material whether racial, religious or otherwise
Any sort of password sharing or hack themed website
Hosting pirated software

3.I Distribution of Mischievous Code Or Programs

Distribution of software to any extent that attempts to and/or successfully causes damage, aggravation, or annoyance to any individual, data set or technical device are absolutely forbidden. Examples of such mischievous code or programs can consist of but are not limited to; Trojan horses, computer viruses and internet worms. Any evidence of such an offense having occurred or continues to occur will result in immediate termination of the account in addition to the termination of any associated services. If applicable the proper authorities will be notified.

3.II Copyright Violations

Violating copyrighted, patented or trademarked works through reproduction and/or distribution will not be tolerated. It is not acceptable to use a Enrich Agency Hosting service to convey any form of the material that violates a copyright, trademark, patent, trade secret, intellectual property right or other right of any third party. These violations can consist of but are not limited to the illicit replication of copyrighted material, the digitization and/or distribution of photographs from print sources as well the illicit transfer of copyrighted programs. Enrich Agency Hosting operates within the guidelines of the Digital Millennium Copyright Act (DMCA) when handling infractions and will respond to all accusations that are formatted in accordance with the DMCA

3.III File Hosting

File storage or file hosting of any kind is forbidden across all Enrich Agency Hosting services. Under no circumstance may our clients use their Enrich Agency Hosting service as file storage and/or a download warehouse. This does not mean that downloads are a direct violation of the Enrich Agency Hosting (EASHTOS), it does however mean that your Enrich Agency Hosting service(s) cannot drive a website that focuses primarily on downloads. Additionally you may not use your Enrich Agency Hosting service as a storage warehouse for games, videos, music files or backups. Any Enrich Agency Hosting service may not surpass 10% of space or bandwidth in games, videos, music files or backups. These values are only adjustable by Enrich Agency staff.

3.IV Adult Oriented Websites

While no pornography is permitted, adult oriented websites and applications are under the condition they are mutually legal within the laws of the USA and the state of Illinois. Enrich Agency will be the sole arbiter as to what constitutes a violation of this provision.

4. Payment Information

You understand that in order for Enrich Agency to process your payments in a timely manner and ensure your service remains uninterrupted it is necessary to have accurate and up to date payment information on file. Additionally by agreeing to the Enrich Agency Hosting (EASHTOS) you agree to supply appropriate payment for the services received from Enrich Agency Hosting in an advanced arrangement for the time period during which such services are received. You also agree that unless you notify Enrich Agency a minimum of seven (7) days prior to the completion of your billing period of your desire to revoke any or all services received, those services will continue to be billed on a recurring basis.

5. Data Loss And Backup

Your use of any of Enrich Agency Hosting service is done so at your own risk. Enrich Agency Hosting under no circumstance is responsible or can be held liable for any data held on Enrich Agency servers. Enrich Agency makes an attempt at mitigating potential data loss by keeping regular backups for shared, VPS and hybrid accounts, however it remains impossible for Enrich Agency Hosting to guarantee an appropriate backup will always be obtainable. You agree to take full responsibility for any and all data transferred to and from Enrich Agency Hosting servers and to preserve suitable backups of said data. Realizing the importance of data backups, Enrich Agency Hosting offers 20GB of free R1Soft backups on all shared, VPS and hybrid accounts. Enrich Agency does perform daily backups, each kept for 7 days.

5.I Unique Circumstances And Emergencies

We reserve the right to take any practical and proactive steps that Enrich Agency deem necessary to maintain the integrity, security, performance and connectivity of our network and hardware. This includes but is by no means limited to actions requiring Enrich Agency to shut down the Enrich Agency Hosting network, hardware, eliminate clients, as well as deactivate or manipulate the content of certain websites or applications. In unexpected circumstances Enrich Agency may require a complete deletion of a certain website, e-mail and/or account because of an exploit or abusive behavior. In these situations Enrich Agency will make a best-effort to have backups on hand.

5.II Termination of Data

In an effort to maintain an enhanced level of privacy and security, all data from terminated and cancelled services and accounts should be considered instantly deleted and flushed from the Enrich Agency Hosting servers. This also includes any and/or all of the available backups. As part of your responsibility in preserving your data, please ensure to backup all of your data before canceling your Enrich Agency Hosting account. In certain circumstances the deletion and flush may not be instantaneous.

5.III Enrich Agency Hosting Account Security

Mistreatment or abuse of your Enrich Agency Hosting account is your sole responsibility. This includes activity on your Enrich Agency Hosting account by family, friends, guests, fellow employees or anyone else that may act on your behalf, with or without you knowing. Therefore it is necessary for you to take precautions against others gaining unapproved access to your account. Additionally, you may not use your Enrich Agency Hosting account maliciously to breach the security of another Enrich Agency Hosting account or attempt to gain access to another network or server, Enrich Agency Hosting or otherwise.

Your assigned or chosen password provides immediate and unrestricted access to your Enrich Agency Hosting account and all related services. It is your sole responsibility to maintain a secure password at all times. Enrich Agency Hosting under no circumstance will be held liable for any mistreatment or abuse of your Enrich Agency Hosting account. Take precautions from others knowing your password as you will be held entirely responsible.

Any Enrich Agency Hosting client who infringes on the security of Enrich Agency or another client will be forwarded to the appropriate authorities. Enrich Agency will fully cooperate with law enforcement in any investigation.

6. Email Policy And Spam

Enrich Agency chooses to host email for its clients at its sole discretion. Enrich Agency does not publicly advertise email hosting services, nor does it recommend hosting email on the Enrich Agency Hosting servers.

Having personal e-mail accounts ourselves, we know what it’s like to receive our fair share of spam. For this reason, Enrich Agency strong arms all unsolicited e-mailing, bulk emailing, and spam in general. Furthermore, applications such as safe lists and double opt-ins will be considered spam. Any Enrich Agency Hosting account that shows evidence of directly or indirectly aiding in or sending out spam will result in the client’s accounts and services being immediately terminated with or without notice.

Depending on the severity of the spam, Enrich Agency Hosting may issue a cleanup fee. In this case the Enrich Agency Hosting account responsible for aiding in or issuing the spam will be charged a fee based on damages.

Enrich Agency Shared Hosting services are capped at 500 emails per hour, exceeding this limit will bounce back to the sender. If for any reason you require more than 500 e-mails per hour as some legitimate mailing lists may, please open a support ticket with your reasoning.

There are no limits on VPS, Hybrid or dedicated emails, however these services cannot be used purely as mail servers and will be monitored regularly.

Enrich Agency reserves the right to delete, disable or change any website, application, database, Enrich Agency Hosting account or any component under Enrich Agency’s control that does not completely comply with this policy. In certain situations Enrich Agency may need to act urgently, in this case Enrich Agency reserves the right to do so with or without notice.

6.I Usenet (Newsgroup, Articles, Messages, etc.) Spam

Usenet spam can consist of but is not limited to posting messages, articles or ads which violate regulations, charters or rules of a newsgroup or mailing list. With this in mind, any messages that are suitable under the rules and regulations of a newsgroup or mailing list, providing they do not violate the Enrich Agency Hosting TOS are permitted.

7. Refund, Guarantee And Cancellation Policy

Enrich Agency offers no refunds for Domain, Backup, Shared Hosting, VPS Hosting, Dedicated Hosting, or Collocation Services.

Enrich Agency offers no guarantees of any kind for Domain, Backup, Shared Hosting, VPS Hosting, Dedicated Hosting or Collocation services.

Enrich Agency offers Hosting Services on a month-to-month basis. Enrich Agency may offer Hosting Services under an annual, semiannual, or quarterly basis at its discretion. Enrich Agency may generate custom payment plans for Hosting plans at its discretion.

If you wish to cancel any of your Enrich Agency Hosting services you may do so providing you give seven (7) days’ notice prior to your next billing cycle. You may request cancellation by emailing your account manager or calling Enrich Agency’s general line. Enrich Agency may require you to fill out an official cancellation of services form at its discretion.

You may have signed up for a Enrich Agency Hosting Service under an annual, semiannual, quarterly or monthly plan. When cancelling your service, your Enrich Agency Hosting account will remain active until your billing period ends. After which your cancelled Enrich Agency Hosting service will be terminated unless you renew your Enrich Agency Hosting account prior to the billing term expiring or you have specified otherwise.

Enrich Agency will treat all data of terminated accounts exactly as outlined in the above section 5.II.

We do not prorate for unused time.

7.I Cancellation Due to Non Payment

Any Enrich Agency Hosting account that has unpaid invoices more than ten (10) days old may be terminated at any time with or without notice. Enrich Agency will treat all data of terminated accounts exactly as outlined in the above section 5.II.

8. Domain Names

Enrich Agency does not offer domain name registration services but does offer Domain Name Monitoring and Domain Name Protection Plans. These services are subject to the Enrich Agency Hosting Terms of Service (EASHTOS).

9. Search Engine Optimization (SEO) And Submission

Enrich Agency offers no search engine submission or optimization services as part of its Hosting services. If you wish to have your website submitted or optimized you must purchase Search Engine Optimization services from Enrich Agency or a 3rd party marketing service provider.

10. Service Refusal

Enrich Agency reserves the right to completely refuse or refuse any amount of service or services to any client under the sole discretion of EnrichAgency. Additionally Enrich Agency completely reserves the right to suspend, cancel or terminate any account at any time Enrich Agency sees fit. Enrich Agency will treat all data associated with the termination of an account as outlined in the above section 5.II.

11. Resource Usage Limitations

Please realize that these policies are in place to protect our clients (you) from poor service. Typically, if Enrich Agency has to impose a restriction on an account for resource usage, that account is already in violation of several aspects of the EASHTOS, and not just these usage policies. Most clients who fall into this realm affect at least two of these policies, and if left unchecked would begin adversely affecting other clients on their server. The overwhelming majority of sites, upwards of 99%, will never have to take these limits into consideration. That being said, it is important they are in place and it is important you are aware of them.

Enrich Agency uses what is called soft limits to enforce most of these limitations. These limits do not “kill” your service when reached, but rather set off a series of notifications in motion to notify the Enrich Agency Hosting Team of potential issues. Many clients will find that they can exceed many or even most without receiving a notice from EnrichAgency. However, when a single account starts to affect the performance of an entire server, it is then necessary to have these limits in place. Enrich Agency has been known to give extensive leeway to folks who need it, providing them time to work with Enrich Agency to reduce the overall load or if not possible, enter discussions for a potential upgrade. With Enrich Agency’s highly optimized servers it is rare Enrich Agency ever has to suspend a client for abuse. Under the EASHTOS, Enrich Agency reserves the right to do so if server abuse is excessive.

While Enrich Agency Hosting VPS, Hybrid and Dedicated services are limited only by the physical resources in the selected plan, shared services have a few more limitations.

12. Price Change

Enrich Agency reserves the right to change the prices and plans listed throughout the Enrich Agency website in addition to the resources allocated to each of the Enrich Agency Hosting plans at its own discretion. Further, Enrich Agency Hosting has the right to end and/or refuse any promotional codes for any reason.

13. Auto Billing (Recurring)

For convenience and to prevent an interruption in service, Enrich Agency has employed a recurring billing cycle on most monthly, quarterly, semiannual and annual plans.

14. Bandwidth Usage

When purchasing you selected a monthly bandwidth allowance based on the package chosen. As your monthly bandwidth limit approaches an e-mail will be sent to the contact address on file, it is your sole responsibility to be aware of such limitations and will not hold Enrich Agency liable for any downtime experienced from account suspensions due to bandwidth overages. If overages are experienced or projected for a certain month, all Enrich Agency clientele have the option to upgrade to a larger plan, pay $0.50 per GB or simply wait until the following month. Bandwidth usage is measured on a monthly basis coinciding with Client’s billing cycle.

15. Responsibilities And Expected Knowledge

By the use of any Enrich Agency Hosting service a certain level of knowledge is assumed on topics consisting of but are not limited to; internet languages, slang, jargon, terminology, protocols, name servers (DNS), website development and software. While knowledge levels differ greatly, the Enrich Agency client agrees that either (1) they possess the necessary knowledge to create their own website with the desired content, look and functionality (2) they subscribe to one of Enrich Agency’s website design plans, subscribe to one of Enrich Agency’s webmaster or website management plans, or purchase a Enrich Agency website design service (3) they have employed a 3rd party to handle their website design and development needs. The customer agrees that it is not the responsibility for Enrich Agency Hosting Team to provide this knowledge to help create, design, program or publishing of a client’s website.

16. Root And SSH Access

Jailed SSH access is available to all shared clients, but not by default. Please contact your account manager directly to request access. VPS, hybrid and dedicated clients will have root SSH access to their respective servers by default and included in their welcome emails.

17. Disclaimer

Enrich Agency under no circumstance will be responsible for damages of any kind that your business may suffer. Enrich Agency makes no warranties of any kind, expressed or implied for services we provide other than the aforementioned guarantees mentioned within this document. Enrich Agency disclaims any warranty or merchantability or fitness for a particular purpose. This includes but is not limited to, loss of data resulting from delays, non-deliveries, hardware and software failures, hacking, sabotage, terrorist attacks, network issues, wrong delivery and any and all service interruptions caused by Enrich Agency Hosting, Enrich Agency’s employees or otherwise.

18. Indemnification

Customer agrees that it shall defend, indemnify, save and hold Enrich Agency harmless from any and all demands, liabilities, losses, costs and claims, including any and all attorney fees asserted against EnrichAgency, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless Enrich Agency against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with EnrichAgency; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customers from a Enrich Agency Hosting server.

IF LAWSUIT(S) ARE THREATENED AGAINST EnrichAgency; If Enrich Agency is sued or threatened with a lawsuit in connection with Enrich Agency Hosting service(s) provided, we may turn to you to indemnify us and to hold us harmless from the claims and expenses which include but are not limited to attorney fees and other court costs. Under these circumstances you agree that you will upon demand, obtain a performance bond with a reputable bonding company or, if you are unable to obtain a performance bond, that you will deposit money with us to pay for our reasonably anticipated expenses in relation to the matter for the coming year. Such deposit will be drawn down as expenses are incurred, with all account notices sent to the WHOIS contact information provided in association with your domain names and/or account. We shall not be obliged to extend you any credit in relation to such expenses and we may terminate our services for a failure to make or renew such a deposit. We will return any unused deposit one year from the conclusion of the matter.

18. Potential Changes to the Enrich Agency Hosting Terms of Service (EASHTOS)

Enrich Agency reserves the right to alter, revise, update and change in the Enrich Agency Hosting Terms of Service (EASHTOS) in anyway without notice at any time under Enrich Agency’s sole discretion and can apply any and all changes and updates retroactively.

As a Good Faith Reminder And Brief Summary to Our Enrich Agency Hosting Clientele

THE CONTINUED USE OF THE ENRICH AGENCY HOSTING SERVICES AND/OR PRODUCTS CONSTITUTES THE IMPLIED CONFORMITY WITH THE ENRICH AGENCY HOSTING TERMS OF SERVICE (EASHTOS) IN ITS ENTIRETY. BY USING THE SERVICES, THE CLIENT (YOU) AGREE TO BE BOUND BY ALL TERMS ASSOCIATED WITH SAID SERVICES, INCLUDING THIS AGREEMENT.

THE CLIENT’S (YOUR) ONLY RECOURSE IN THE EVENT OF A DISAGREEMENT IS TO TERMINATE THIS CONTRACT AND SERVICE IMMEDIATELY AS DISCUSSED WITHIN THIS AGREEMENT.
